Terms of Service

1. Acceptance of Terms
By creating an account or using the Repuko platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Repuko ("we," "us," or "our").
2. Description of Service
Repuko is an independent reputation management platform that enables business owners and their authorized representatives to:
- Connect and manage their business profile listings.
- Monitor, read, and analyze public customer reviews.
- Draft AI-assisted responses to public reviews.
- Track local competitor rankings and performance benchmarks.
- Send review request messages to their own customers via SMS or email.
- Generate analytics reports and actionable insights.
Our Service may integrate with third-party business listings. Your use of the Service is also subject to the applicable terms and policies of those platforms.
3. Account Registration & Eligibility
- You must be at least 18 years of age to use the Service.
- You must provide accurate, complete, and current registration information.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must immediately notify us of any unauthorized use of your account.
- You may only use the Service to manage business profiles that you own or are explicitly authorized to manage on behalf of the business owner.
5. SMS & Messaging Terms
The following terms apply to the use of our review request messaging feature:
5.1 User Responsibilities
- You are solely responsible for obtaining proper prior consent from each recipient before sending any review request message through the Service.
- You represent and warrant that all phone numbers and email addresses you provide belong to your actual customers who have consented to receive communications from your business.
- Consent to receive messages must not be required as a condition of purchase or service.
- Consent Records: We maintain records of user consent (opt-in) for compliance purposes.
- You agree to comply with all applicable federal, state, and local laws regarding electronic messaging, including but not limited to the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
5.2 Message Content & Delivery
- Review request messages sent through the Service contain a direct link to your public business profile. The link directs the recipient to your business listing where they may voluntarily leave a review.
- Sender Identification: Each message clearly identifies the business or Repuko as the sender.
- Standard message and data rates may apply to SMS recipients based on their mobile carrier and plan.
- Message frequency varies based on your usage of the Service.
5.3 Opt-Out & Compliance
- All SMS messages include opt-out and help instructions. Recipients may reply STOP at any time to unsubscribe from future messages, or reply HELP for assistance.
- We immediately honor all opt-out requests and maintain an internal suppression list.
- SMS messages are delivered through a third-party messaging infrastructure provider that processes messages on our behalf under strict contractual data processing obligations.
5.4 Data Handling for Messaging
- Customer phone numbers and email addresses provided for review requests are stored securely and used solely for the purpose of sending the requested review invitation.
- We do not sell, rent, or share customer phone numbers or email addresses with any third party for marketing, advertising, or promotional purposes.
- Message delivery logs are retained for audit and compliance purposes and are automatically purged after ninety (90) days.
6. Termination & Account Disconnection
- You may terminate your account at any time through your dashboard settings or by contacting us.
- Upon termination, we will immediately disassociate your business profile from our Service.
- Upon request, we will provide you with an export of your data (reviews, analytics, and reply history) in a standard format within fourteen (14) business days.
- We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms or any applicable third-party policies.
- Upon termination, your right to use the Service ceases immediately.
- You may request complete deletion of all your data by contacting support@repuko.com.
7. Fees & Billing
- Certain features of the Service require a paid subscription. Pricing details are available on our Pricing page.
- We do not hold or store any of your credit card or billing information. All billing and subscription management is handled securely by our Merchant of Record, Lemon Squeezy, ensuring industry-leading compliance and data protection.
- Subscriptions renew automatically unless cancelled before the renewal date.
- We reserve the right to change pricing with thirty (30) days' advance notice.

8. Intellectual Property
All rights, title, and interest in the Service (including software, design, branding, and documentation) are owned by Repuko. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of your subscription.
Third-party brand features displayed within the Service (such as logos and attribution) are the property of their respective owners and are displayed in compliance with applicable brand guidelines.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
Our Service depends on third-party APIs and platforms that may experience downtime, rate limiting, or policy changes beyond our control. We do not guarantee uninterrupted access to third-party data or services.
10. Limitation of Liability
To the maximum extent permitted by law, Repuko shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Repuko and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights. This includes any liability arising from SMS messages sent through the Service at your direction.
13. Modifications to the Service & Terms
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time. We may also update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service. Your continued use after changes take effect constitutes acceptance of the modified Terms.
14. Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Before initiating any formal dispute, the claiming party must provide thirty (30) days written notice to allow for informal resolution. Unresolved disputes shall be settled through binding arbitration.
